These Terms of Service (hereinafter referred to as "these Terms") set forth the terms and conditions for the use of the online shop (hereinafter referred to as "this Service") provided on this website by GP inc. (hereinafter referred to as "the Company"). All registered users (hereinafter referred to as "Users") shall use this Service in accordance with these Terms.

Article 1 (Application)

  1. These Terms shall apply to all relationships between the User and the Company regarding the use of this Service.
  2. In addition to these Terms, the Company may establish individual provisions (hereinafter referred to as "Individual Provisions") such as usage rules for this Service. These Individual Provisions, regardless of their name, shall constitute a part of these Terms.
  3. If the provisions of these Terms conflict with the Individual Provisions set forth in the preceding paragraph, the Individual Provisions shall take precedence unless otherwise specified.

Article 2 (User Registration)

  1. To use this Service, a person wishing to register must apply for registration by agreeing to these Terms and by following the procedure prescribed by the Company. Upon approval by the Company, registration shall be deemed complete.
  2. The Company may refuse an application for registration if it determines that the applicant falls under any of the following conditions, and it shall bear no obligation to disclose the reasons:
    • If false information is provided in the application
    • If the applicant has previously violated these Terms
    • If the Company deems the registration inappropriate for any other reason

Article 3 (User ID and Password Management)

  1. Users shall be responsible for managing their user ID and password for this Service.
  2. Users may not transfer or lend their user ID or password to any third party or share them with others under any circumstances. The Company will consider any login activity performed with a registered user ID and password to be the User’s own use.
  3. The Company shall not be liable for any damages resulting from the use of a User’s ID or password by a third party, unless such damages arise due to the Company's intentional misconduct or gross negligence.

Article 4 (Purchase Agreement)

  1. A purchase agreement between the User and the Company shall be deemed concluded when the User submits a purchase order and the Company sends an acceptance notification.
  2. Ownership of the product shall be transferred to the User at the time the Company hands the product over to a shipping carrier.
  3. The Company may cancel a purchase agreement without prior notice to the User in the following cases: 
    • If the User violates these Terms
    • If the product cannot be delivered due to incorrect delivery details or prolonged absence
    • If the trust relationship between the User and the Company is deemed to be compromised
  4. Payment methods, shipping methods, order cancellation, and return policies shall be determined separately by the Company.

Article 5 (Intellectual Property Rights)

All copyrights and other intellectual property rights related to product images and other content (hereinafter referred to as "Content") provided through this Service shall belong to the Company or the rightful content providers. Users may not reproduce, distribute, modify, or otherwise utilize the Content without permission.

Article 6 (Prohibited Conduct)

Users shall not engage in the following acts when using this Service:

  • Violating laws or public order and morals
  • Engaging in criminal activity
  • Infringing upon intellectual property rights, including copyrights and trademarks
  • Interfering with or disrupting the Company's servers or networks
  • Using information obtained from this Service for commercial purposes
  • Engaging in acts that may obstruct the operation of this Service
  • Gaining unauthorized access or attempting to do so
  • Collecting or storing personal information of other Users
  • Impersonating other Users
  • Directly or indirectly providing benefits to anti-social forces
  • Any other acts deemed inappropriate by the Company

Article 7 (Service Suspension and Interruption)

  1. The Company may suspend or interrupt all or part of this Service without prior notice if it determines that any of the following conditions apply:
    • When performing system maintenance or updates
    • When service provision becomes difficult due to force majeure events such as earthquakes, lightning, fires, power outages, or natural disasters
    • When service is disrupted due to an accident affecting computers or communication networks
    • When the Company deems the continuation of this Service difficult
  2. The Company shall not be liable for any disadvantages or damages suffered by Users or third parties due to suspension or interruption of this Service.

Article 8 (Usage Restrictions and Account Termination)

  1. The Company may, without prior notice, restrict the use of all or part of this Service or terminate a User’s registration in the following cases:
    • If the User violates any provision of these Terms
    • If false information is found in the User’s registration details
    • If the User's registered payment method becomes invalid
    • If the User fails to fulfill payment obligations
    • If the User fails to respond to communications from the Company within a certain period
    • If the User has not used this Service for an extended period
    • If the Company deems the User's use of this Service inappropriate
  1. The Company shall not be liable for any damages arising from actions taken under this Article.

Article 9 (Withdrawal from Service)

Users may withdraw from this Service by completing the prescribed withdrawal procedure.

Article 10 (Disclaimer of Warranties and Liability)

  1. The Company does not guarantee that this Service is free of defects, including safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, or security vulnerabilities.
  2. The Company shall not be liable for any damages incurred by Users due to the use of this Service, except in cases where such damages arise due to the Company’s intentional misconduct or gross negligence.
  3. The Company assumes no responsibility for any transactions, communications, or disputes between Users and third parties in connection with this Service.

Article 11 (Changes to Service Content)

The Company may change the content of this Service or discontinue its provision without notifying Users. The Company shall not be liable for any damages resulting from such changes or discontinuation.

Article 12 (Changes to Terms of Service)

  1. The Company may revise these Terms at any time without prior notice to Users.
  2. If a User continues to use this Service after changes to these Terms, the User shall be deemed to have agreed to the revised Terms.

Article 13 (Handling of Personal Information)

The Company shall properly handle personal information obtained through this Service in accordance with the Company’s Privacy Policy.

Article 14 (Notices and Communications)

Any notices or communications between the User and the Company shall be conducted by the method designated by the Company. If a User fails to update their registered contact details, the Company shall assume that notifications sent to the registered contact have been received.

Article 15 (Prohibition of Transfer of Rights and Obligations)

Users may not transfer or assign their rights or obligations under these Terms to any third party without prior written consent from the Company.

Article 16 (Governing Law and Jurisdiction)

  1. These Terms shall be governed by and construed in accordance with the laws of Japan.
  2. Any disputes arising from or in connection with this Service shall be subject to the exclusive jurisdiction of the Tokyo District Court.
  3. Alternatively, disputes may be resolved through arbitration at the Japan Commercial Arbitration Association (JCAA) or the Japan International Dispute Resolution Center (JIDRC), with proceedings conducted in Japanese under Japanese arbitration law.
